PPC Engine Advertiser Terms of Service Agreement

It is important for you to read this terms of service agreement (TOS) carefully prior to using our website for search marketing purposes. By utilizing our search engine PPC marketing, you agree to be bound by the provisions contained in this Terms of service agreement. We may amend this TOS from time to time without notice to you, and you agree to be bound by any such amendments. Therefore, you should review this TOS on a regualr basis. If this TOS agreement or any amendments are unacceptable, you must discontinue your use of our search marketing immediately. As used in this TOS, "we" and "our" refer to Shopper Favorites and its subsidiaries. References to "our website" includes, where applicable, any content, products, and services contained within our website. You agree to not use or attempt to use our website for any improper or unlawful purpose including, without limitation, to violate any of our policies, procedures, or requirements, or to interfere with, disrupt, or breach the security of our website or any of our servers or networks. You are responsible for ensuring that your use of our website does not violate any applicable local, state, federal, international or other law, rule or regulation. Links found within Shopper Favorites.com Shopper Favorites and its subsidiaries offer pay per click and other marketing services which, by their nature, contain links to third-party sites on the internet. We assume no responsibility for your decision to utilize any such links, or for the accuracy or usefulness of any materials contained on any such sites. All sites mentioned within search results or linked to by those results are developed by entities and individuals independent of us. All such sites including our search results are not screened by us and so may contain material that you may find inappropriate, offensive or otherwise objectionable in some way. You assume all risks, direct and indirect, for following links from our website, either in search results, banner advertisements, or other third party links. Nothing contained on our website confers any license, title, right or interest in or to our intellectual property or any third party's intellectual property including but not limited to copyrights, patents and trademarks. Our website is provided - as is - with no warranties of any kind whether written or implied. In no event shall we nor any of our officers, directors, agents, employees, contractors, affiliates or subsidiaries, be liable to you or any other party for any claim for direct, indirect, incidental, special, punitive, or consequential damages. PPC Advertising Deposit Accounts - You are permitted to have only one advertising account per business entity or individual. - You are permitted to utilize as many campaigns, URL's, keywords and display advertisements as you wish within your single account. - You will receive a username and a password for your use as an advertiser. It is your responsibility to maintain the confidentiality of your username and password. You must contact us immediately if you become aware of any unauthorized use of your account or breach in the confidentiality of your username and/or password. You are responsible for all use, including unauthorized use, of our website through your designated username and password. In no event shall we be liable for any loss or damage resulting from or relating to the afformentioned requirements. - Any bonus, signup deposit credits, or other complimentary deposits added by Shopper Favorites to your account are to be used soley for the purpose of your pay per click ( PPC ) marketing campaigns, only within Shopper Favorites.com. realm. Any such complimentary, bonus, or sign up deposit credits made by us are not transferable, saleable or able to be conveyed to any other individual or entity and hold no cash value outside of Shopper Favorites.com. - Any deposits made by you, your assigns, partners or associates into your ShopperFavorites.com PPC marketing account are non refundable. Display / Contextual Advertising Accounts - Display Advertisements shall mean any contextual, banner ad or combination therein, other than our standard pay per click ( PPC ) keyword, keyphrase campaigns. - Display advertisements shall run for 30 consecutive calender days and automatically renew every 30 days unless cancelled in a timely manner by the advertiser or by us. - Display advertisements are not governed by amount of impressions or clickthroughs. They are time sensitive only. - Any display advertisement cancellation shall take place in writing, via email or our contact form a minimum of 5 calendar days ( 120 hours - Pacific Daylight Time ) before expiration. - Display advertisements shall be paid in full and reviewed by our editorial staff before they go live. - Bonus credits, signup deposit credits, or other complimentary deposits added by Shopper Favorites are not useable or acceptable for payment of display advertisements. Key Words and Keyphrases. Shopper Favorites.com offers no exclusivity on keywords or phrases. Each advertiser will be given ranking positions based upon the bid they enter and maintain on keywords and keyphrases. Keyword, Keyphrase search volumes As each keyword and keyphrase will have their own unique volume of searches and the volume will fluctuate within any given period of time, we do not warrant any amount of searches performed or possible clicks recieved to any advertiser for any given time period. Rejection of Keywords Keyphrases, Titles, Descriptions and/or Advertiser campaigns WE reserve the right, without liability, to reject, omit or exclude any advertisement, keyword, keyphrase, title, description, contextual campaigns in part for any reason at any time, with or without notice to the advertiser / account holder, regardless whether such advertisement, keyword, keyphrase or campaign, advertisement was previously acknowledged, accepted, or published. Your chosen keywords, keyphrases, titles and descriptions must be relevant to your URL target. Any non relevant keywords and keyphrases will be disabled. We WILL NOT ACCEPT: Keywords, keyphrases, URLs, Titles, Descriptions, Advertiser's landing pages, websites pertaining but not limited to: - Alcohol ( including beer ) sales - Promoting violence or advocate against a protected group. A protected group is distinguished by their: Race or ethnic origin, Color, National origin, Religion, Disability, Sex, Age, Veteran status, Sexual orientation or individual's Gender identity . - Counterfeit designer goods and products - Bootleg Recordings - Audio and Video - Bootleg or pirated software - Fake documents - Pyrotechnic type devices such as fireworks - Warez, Hacking and cracking websites - Cigarettes, Cigars or other tobacco products - Firearms, ammunition, brass knuckles or other weapons - Body parts, cadavers or similar Please NOTE: The above list may not be all inclusive. Other restrictions may apply. We reserve the right to disallow, cancel or suspend any keyword, keyphrase, campaign, advertiser url, or account holder at any time. Should we suspend, cancel or disallow your keyword, keyphrase, campaign, campaign url, or account, we will notify you of the ocurrance and you will need to log into your account and remedy the issue. Should you have any questions or concerns as to whether a particular keyword, phrase, URL or submitted description or title listing will violate this TOS agreement, please contact us first. Adult oriented campaigns are permitted, however,; - Adult ppc/advertising keywords and keyphrases must only target and resolve to adult oriented websites. - Adult ppc/advertising campaigns must target those only over the age of 18 years old. - Any use of non adult oriented Keywords, keyphrases, Titles, Descriptions in which lead to an adult oriented website will result in immediate account termination. - Adult oriented and gaming display advertisements will not be accepted for our front page headers and search results pages headers. Licenses and Indemnification You, the Advertiser grants Shopper Favorites.com the right to use, reproduce, publicly display and distribute your advertisements and collateral information and warrants that you have the right to grant such license. You represent that you, the advertiser, is the owner or is licensed to use the entire contents and subject matter contained in its advertisements and collateral information, including, without limitation, (1) the names and/or pictures of persons; (2) any copyrighted material, trademarks, service marks, logos, and/or depictions of trademarked or service marked goods or services; (3) any testimonials or endorsements contained in any advertisement submitted to Shopper Favorites.com. Additionaly, you represent that your advertisements and collateral information do not violate any applicable local, state or federal law or regulation. In consideration of Shopper Favorites acceptance of such advertisements and information for publication, you the advertiser will jointly and severaly indemnify and hold harmless Shopper Favorites.com, its officers, directors, shareholders, employees, accountants, attorneys, agents, parent, affiliates, subsidiaries, successors and assigns from and against any and all third party claims, damages, liabilities, costs and expenses, including reasonable legal fees and expenses, arising out of or related to: (1a) Your breach of any covenants, representations and warranties made therein; (2a) Shopper Favorites.com performance under this contract; (3a) the copying, printing, distributing, transmitting or publishing of your advertisements or collateral information by Shopper Favorites.com. |
